Acceptance of Terms

Welcome to MidFee Global. By accessing or using our website, mobile services, or any transaction mediation service we provide (together, "the Service"), you agree to be bound by these Terms & Conditions.

If you do not agree with any part of these terms, please do not use the Service. These terms apply to every visitor, buyer, seller, and any other party who interacts with the Service.

“We,” “our,” “us,” means MidFee Global. “You,” “your,” “buyer,” “seller,” or “user” means the individual or business using the Service.

About MidFee Global

MidFee Global is a Nigerian digital transaction mediation platform. We provide a structured environment where buyers and sellers can transact online with more confidence by holding transaction payments until the buyer confirms that the agreed goods or services have been delivered.

We are not a bank and we do not provide banking, investment, or lending services. We are not licensed by the Central Bank of Nigeria as a deposit-taking institution or as an escrow operator. Payment collection and settlement are performed through our licensed payment processor, Flutterwave, in accordance with applicable Nigerian payment regulations.

When a buyer pays for a transaction, the funds are collected by our payment processor into MidFee Global's transaction account and recorded against the transaction in our system. The seller's entitlement to those funds becomes final only after the buyer confirms receipt of the agreed goods or services (or as otherwise provided in these terms).

Eligibility

To use the Service, you must:

  • Be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher
  • Have the legal capacity to enter into binding contracts
  • Provide accurate, current and complete registration information
  • Not be barred from using the Service under any applicable law
  • Comply with all applicable Nigerian and international laws when using the Service

If you use the Service on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these terms.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials, including your password and your 4-digit transaction PIN. You must notify us immediately if you suspect any unauthorised access to your account.

We may require identity verification (KYC) before you can create or participate in transactions. You agree to provide accurate and current information and to update it whenever it changes.

We reserve the right to suspend or close any account that we reasonably believe is being used for fraud, abuse, or in violation of these terms.

Transaction Lifecycle

Every MidFee Global transaction follows a defined lifecycle so both parties know what to expect:

  1. Seller creates an order. The seller provides a description of the goods or services, the quantity, the transaction period, and the amount to be paid.
  2. Seller shares the order link with the buyer. The buyer opens the order and reviews the details.
  3. Buyer makes payment. Payment can be made from the buyer's MidFee wallet or through our payment processor (card or bank transfer).
  4. Funds are held. The payment is collected and recorded against the transaction. It appears in the seller's pending balance and cannot be withdrawn by the seller yet.
  5. Seller delivers. The seller delivers the goods or performs the agreed services.
  6. Buyer confirms receipt. The buyer clicks “Confirm Received” on the transaction page. This moves the funds from the seller's pending balance to the seller's available balance.
  7. Seller withdraws. The seller can now request a withdrawal to their bank account, subject to our withdrawal process and any applicable fees.

If the buyer does not confirm receipt within a reasonable time, and the seller can show evidence of delivery, we may (after reviewing the matter) release the funds in accordance with our internal dispute procedure.

How Funds Are Held

When a buyer pays for a transaction, the money is collected through our licensed payment processor, Flutterwave, and held in MidFee Global's transaction account until the transaction is completed or resolved.

The funds are recorded against the transaction in our system and shown as pending balance for the seller. They are not yet the seller's property. Legal ownership of the transaction amount passes to the seller only after the buyer confirms receipt.

Important: MidFee Global is not itself a bank or licensed escrow operator. It uses licensed payment infrastructure to collect and settle payments. Where the law requires additional authorisation for the arrangement described here, MidFee Global is responsible for obtaining it and will update these terms accordingly.

Fees & Charges

MidFee Global charges the following fees for use of the Service:

Service Charge 4% of the amount paid for each transaction
4%
Withdrawal Fee Charged when a seller withdraws available funds
1%

Service charges are added on top of the amount the seller is owed and are paid by the buyer. Withdrawal fees are deducted from the amount being withdrawn.

Fees are non-refundable. The 4% service charge is retained by MidFee Global even if the transaction is later cancelled, refunded or disputed. The buyer will receive a refund of the principal amount only, not the service charge.

We may adjust our fees from time to time. Any change will be announced on this page and will apply to transactions started after the change takes effect.

Milestone Payments

For larger transactions, the seller may split the payment into milestones. Each milestone is a stage of the overall transaction with its own title, description, and percentage of the total amount.

All milestone percentages for a single order must add up to 100%. Each milestone is paid separately, and the 4% service charge is calculated on the milestone amount at the time of payment.

After each milestone is paid, the milestone amount is credited to the seller's pending balance. The seller can only move that amount to their available balance after the buyer confirms that the specific milestone has been received.

When all milestones have been paid and confirmed, the transaction is marked Completed.

Release of Funds

Funds are released to the seller's available balance when:

  • The buyer clicks “Confirm Received” on the transaction, or
  • The buyer clicks “Confirm Stage Received” for a paid milestone, or
  • After our internal dispute procedure has concluded that the seller has fulfilled the agreement, or
  • As otherwise required by applicable law or by a competent authority.

Until one of these conditions is met, the funds remain recorded as the seller's pending balance and are not available for withdrawal.

Refunds & Disputes

If a buyer believes that an agreed transaction has not been fulfilled, they may open a dispute through the Service. We will investigate the matter, review the evidence provided by both parties, and decide on the appropriate outcome.

Possible outcomes include:

  • Release — the seller has fulfilled the agreement; funds are released.
  • Partial refund — a portion of the funds is returned to the buyer and the rest released to the seller.
  • Full refund — the buyer receives the principal transaction amount back.

Service charge is not refundable. Even when a refund is issued, the 4% MidFee Global service charge associated with that transaction is not returned to the buyer.

Refunds are credited to the buyer's MidFee Global wallet unless the buyer requests a refund directly to their bank account. Bank refunds may be subject to the payment processor's own timing and rules.

We may also decline to release funds to a seller who we reasonably believe has acted fraudulently, or who has failed to respond to a dispute within a reasonable timeframe.

Withdrawals

Sellers can request a withdrawal of their available balance to a supported Nigerian bank account at any time. Withdrawals are processed through our payment processor and are subject to the following:

  • A 1% withdrawal fee is deducted from the amount being withdrawn
  • Withdrawals are only made to bank accounts that match the seller's verified identity
  • Processing may take 1–3 business days, depending on the receiving bank
  • We may hold or decline a withdrawal that we suspect is fraudulent or unlawful

Only funds in the seller's available balance can be withdrawn. Funds in the pending balance are not eligible for withdrawal until the corresponding milestones or transactions have been confirmed by the buyer.

Prohibited Activities

You agree not to use the Service for:

  • Any activity that is illegal under Nigerian law or the law of your jurisdiction
  • Money laundering, terrorist financing, or any other financial crime
  • Sale of prohibited, counterfeit, or stolen goods or services
  • Fraud, misrepresentation, or deceptive conduct toward any party
  • Attempting to bypass, disable, or interfere with our security features
  • Impersonating another person or entity
  • Using the Service to harass, threaten, or harm another person
  • Any transaction that violates a court order, embargo, or sanctions list

Violation of these rules may result in suspension of your account, cancellation of pending transactions, reporting to the relevant authorities, and, where appropriate, legal action.

Limitation of Liability

To the maximum extent permitted by Nigerian law, MidFee Global provides the Service on an “as is” and “as available” basis and is not liable for:

  • The quality, legality, safety, or delivery of goods or services sold by any seller
  • The truthfulness or accuracy of any user's statements
  • Any indirect, consequential, special, or punitive damages
  • Loss of profits, data, opportunity, or goodwill
  • Delays or failures caused by third parties, including banks and payment processors
  • Any failure of the Service caused by events outside our reasonable control

Where we are found liable, our maximum aggregate liability for any single transaction is limited to the total fees MidFee Global received from that transaction.

Suspension & Termination

We may suspend or close your account if you breach these terms, if we are required to do so by law, or if we reasonably believe that continuing to provide the Service would expose us or another user to harm.

On termination, we will process pending transactions and withdrawals in accordance with these terms and applicable law. Fees already charged are not refundable.

Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to the Service will be subject to the exclusive jurisdiction of the courts of Nigeria, unless mandatory consumer protection law in your country of residence provides otherwise.

We may update these terms from time to time. Material changes will be announced on this page, and continued use of the Service after the effective date constitutes acceptance of the updated terms.
